Except as explicitly permitted under this or another agreement with Vic Munoz, no portion or element of the Site or its Content may be copied or retransmitted via any means and the Site, its Content and all related rights shall remain the exclusive property of the relevant member of Vic Munoz unless otherwise expressly agreed.

You may not modify any of the materials and you may not copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any Content. In the event you download software (including but not limited to screensavers, icons, videos and wallpapers) from the Site, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are licensed to you by Vic Munoz. Vic Munoz does not transfer title to the Software to you. You own the medium on which the Software is recorded, but Vic Munoz retains full and complete title to the Software, and all intellectual property rights therein. You may not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-readable form.
Trademarks
All trademarks, service marks and trade names of Vic Munoz used herein (including but not limited to: the word mark "Conscious Everyday Living", "the Conscious Everyday Living logo or symbol", "Have a Conscious Day") are trademarks or registered trademarks of Vic Munoz, unless stated otherwise. You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify Vic Munoz trademarks in any way, including in advertising or publicity pertaining to distribution of materials on the Site, without Vic Munoz' prior written consent. The use of Vic Munoz trademarks on any other website or network computer environment, for example the storage or reproduction of (a part of) the Site in any external internet site or the creation of links, hypertext, links or deeplinks between the Site and any other internet site, is prohibited without the express written consent of Vic Munoz.

Misuse of the Site

From time to time Vic Munoz makes it possible to view and distribute content generated by you, for instance through e-postings and sending postcards to others persons. Vic Munoz reserves the right at its sole discretion to block or remove any communications and materials it believes is not in accordance with these Terms and Conditions, or otherwise unacceptable to Vic Munoz.

Applicable Law and Jurisdiction
These Terms and Conditions shall be governed by the laws of the State of Florida and the parties hereby irrevocably and unconditionally consents to submit to the exclusive jurisdiction of the courts of the State of Florida and of the United States of America located in the State of Florida for any litigation arising out of or relating to use of or purchase made through the Vic Munoz Site (and agrees not to commence any litigation relating thereto except in such courts), waives any objection to the laying of venue of any such litigation in the Florida Courts and agrees not to plead or claim in any Florida Court that such litigation brought therein has been brought in an inconvenient forum. If any portion of these Terms and Conditions become void, it will not affect the validity and enforceability of the remaining provisions. The void part will be replaced by provisions that are valid and have legal effect.
Binding Arbitration
Any controversy or claim arising out of or relating to this Terms of Use (including any breach thereof), the Vic Munoz Site, any Content or any item purchased from the Vic Munoz Site shall be settled by confidential arbitration in Miami, Florida administered by the American Arbitration Association under its Commercial Arbitration Rules (including without limitation the Supplementary Procedures for Consumer-Related Disputes), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated with any claim or controversy of any other party. The foregoing shall not preclude Vic Munoz from seeking any injunctive relief in State or Federal courts located in the State of Florida for protection of Vic Munoz or Vic Munoz licensors intellectual property rights, and you consent to exclusive jurisdiction and venue in such courts.
